We know legal terms can be dense, but it’s important to establish what you can expect from AutoScale as you use our platform, and what we expect from you in return.

These terms govern your use of AutoScale and establish the legal framework for our service relationship.

1. Agreement Overview

These Terms of Service ("Terms") constitute a binding legal agreement between you ("Customer," "User," or "you") and NeuronX Research Private Limited ("NeuronX," "Company," "we," "us," or "our"), a private limited company incorporated in India, regarding your use of the AutoScale enterprise AI automation platform and related services.

By accessing or using AutoScale, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into this agreement on behalf of an organization, you represent that you have the authority to bind that entity to these Terms.

2. Service Description

AutoScale is an enterprise-grade AI agent-powered automation platform designed to streamline business processes, integrate with existing enterprise systems, and provide intelligent workflow orchestration. The platform includes:

  • Core Platform: Web-based application with dashboard, analytics, and configuration tools
  • API Services: RESTful APIs for system integrations and programmatic access
  • AI Capabilities: Machine learning models, natural language processing, and predictive analytics
  • Integration Services: Connectors for ERP, CRM, HR, and other enterprise systems
  • Support Services: Technical support, documentation, and training resources

3. Eligibility and Account Requirements

Professional Use Only

AutoScale is intended exclusively for business and professional use by individuals who are 18 years of age or older. The platform is not designed for personal, consumer, or non-commercial use.

Account Registration

To access AutoScale, you must:

  • Provide accurate and complete registration information
  • Maintain and update your account information
  • Protect your login credentials and account security
  • Comply with all applicable laws and regulations
  • Use the platform only for lawful business purposes

Enterprise Administration

For enterprise deployments, designated administrators are responsible for:

  • User provisioning and access management
  • Security configuration and compliance oversight
  • Data governance and retention policy implementation
  • License management and subscription compliance

4. Acceptable Use Policy

Permitted Uses

You may use AutoScale to:

  • Automate legitimate business processes and workflows: Utilize the platform's AI-powered automation capabilities to streamline, optimize, and execute routine and complex business operations, including but not limited to data processing, task scheduling, workflow orchestration, and process management, provided such activities are conducted in accordance with applicable laws and industry best practices.
  • Integrate with authorized enterprise systems and data sources: Connect AutoScale to your organization's approved enterprise software, databases, APIs, and third-party services through secure integration protocols, enabling seamless data exchange and system interoperability while maintaining appropriate access controls and security measures.
  • Generate reports, analytics, and business intelligence: Leverage the platform's analytical tools and reporting features to create comprehensive business insights, performance metrics, trend analyses, and data visualizations that support informed decision-making and strategic planning within your organization.
  • Collaborate with team members and authorized users: Engage in collaborative workflows, share configurations, exchange information, and coordinate activities with other licensed users within your organization or authorized third parties, subject to proper access management and confidentiality requirements.
  • Access training materials and documentation: Utilize available educational resources, technical documentation, user guides, tutorials, knowledge base articles, and support materials provided by NeuronX to enhance your understanding and effective use of the AutoScale platform.

Prohibited Activities

You may not:

  • Use the platform for illegal, fraudulent, or malicious purposes: Any utilization of AutoScale that violates local, state, national, or international laws, regulations, or legal requirements is strictly prohibited. This includes but is not limited to activities involving fraud, deception, identity theft, money laundering, or any other criminal conduct that exploits the platform's capabilities for unlawful gain or harmful intent.
  • Attempt to gain unauthorized access to systems or data: You are expressly forbidden from engaging in any activities designed to circumvent security measures, breach authentication protocols, access restricted areas of the platform, retrieve data belonging to other users or organizations, or otherwise compromise the integrity, confidentiality, or availability of AutoScale systems, infrastructure, or customer data.
  • Reverse engineer, decompile, or attempt to extract source code: Any form of reverse engineering, decompilation, disassembly, or extraction of the platform's proprietary source code, algorithms, trade secrets, or underlying technical architecture is prohibited. This includes using automated tools, manual analysis, or any other methods to discover, replicate, or derive the platform's internal structure or intellectual property.
  • Distribute, resell, or sublicense access to the platform: You may not share, transfer, sell, lease, rent, or otherwise provide access to your AutoScale account, credentials, or platform features to any third party, including affiliates, partners, or other organizations, without explicit written authorization from NeuronX. Each organization must obtain its own valid subscription and license agreement.
  • Use the platform to spam, harass, or engage in abusive behavior: AutoScale must not be used to send unsolicited communications, distribute spam, engage in harassment, intimidation, or any form of abusive conduct directed at individuals, organizations, or systems. This prohibition extends to any automated activities that generate excessive network traffic, overwhelm systems, or disrupt the normal operation of services.
  • Violate any applicable laws, regulations, or third-party rights: Your use of AutoScale must comply with all relevant legal frameworks, including data protection laws (such as GDPR, CCPA, and local privacy regulations), intellectual property laws, export control regulations, industry-specific compliance requirements, and any other applicable statutes. Additionally, you must respect the rights of third parties, including copyrights, trademarks, patents, trade secrets, and privacy rights.
  • Introduce malware, viruses, or other harmful code: You are strictly prohibited from uploading, transmitting, injecting, or otherwise introducing any malicious software, viruses, worms, trojans, ransomware, spyware, or any other code, scripts, or programs that could damage, disrupt, compromise, or interfere with AutoScale systems, infrastructure, or the data and systems of other users.

5. Data and Privacy

Customer Data Ownership

You retain all rights, title, and interest in your data processed through AutoScale. NeuronX does not claim ownership of customer data and processes it solely to provide the contracted services.

Data Processing Agreement

Data processing activities are governed by our comprehensive Privacy Policy and, where applicable, separate Data Processing Agreements that comply with GDPR, Indian privacy laws, and other applicable regulations.

Security and Confidentiality

NeuronX implements industry-standard security measures to protect customer data, including encryption, access controls, and continuous monitoring. Detailed security practices are outlined in our Security Documentation.


6. Intellectual Property Rights

Platform Ownership

AutoScale, including all software, algorithms, interfaces, and documentation, is proprietary to NeuronX and protected by intellectual property laws. No rights are granted except those explicitly stated in these Terms.

Customer Content

You retain ownership of all content, data, and intellectual property you provide or generate through the platform. You grant NeuronX a limited license to process this content solely for service delivery purposes.

Feedback and Suggestions

Any feedback, suggestions, or improvement ideas you provide may be used by NeuronX without compensation or attribution, though we appreciate your contributions to platform enhancement.


7. Service Levels and Availability

Uptime Commitment

NeuronX commits to maintaining platform availability of 99.5% measured monthly, excluding scheduled maintenance windows and circumstances beyond our reasonable control.

Maintenance and Updates

We reserve the right to perform scheduled maintenance, security updates, and platform improvements. Advance notice will be provided for planned downtime exceeding 2 hours.

Support Services

Technical support is provided via email, knowledge base, and documentation. Response times vary by subscription level and issue severity as detailed in your service agreement.


8. Fees and Payment Terms

Subscription Fees

AutoScale is provided under subscription-based pricing models. Fees are based on usage tiers, feature sets, and enterprise requirements as specified in your order or proposal.

Payment Obligations

  • Fees are payable in advance according to the billing cycle
  • Late payments may result in service suspension
  • All fees are non-refundable except as required by applicable law
  • Price changes require 30 days advance notice

Taxes

Customers are responsible for all applicable taxes, duties, and assessments, except for taxes based on NeuronX's net income.


9. Term and Termination

Agreement Term

This agreement begins when you first access AutoScale and continues until terminated by either party in accordance with these Terms.

Termination Rights

  • Termination for Convenience: Either party may terminate this agreement at any time for any reason or no reason by providing written notice to the other party via email to the designated contact address. The termination will become effective 30 days after the date the notice is received.
  • Termination for Material Breach: Either party may terminate this agreement immediately upon written notice if the other party commits a material breach of any provision of these Terms and fails to cure such breach within 15 days after receiving written notice specifying the nature of the breach.
  • Termination for Insolvency or Bankruptcy: Either party may terminate this agreement immediately upon written notice if the other party becomes insolvent, files for bankruptcy, enters into receivership, makes an assignment for the benefit of creditors, or undergoes any similar proceeding under applicable law.

Effect of Termination

  • Service Discontinuation: All access to the AutoScale platform will be immediately discontinued upon the effective date of termination. Customer accounts will be deactivated, authentication credentials will be invalidated, and all active sessions will be terminated.
  • Data Export Assistance: NeuronX will provide reasonable assistance to facilitate the export of customer data for a period of 30 days following the effective date of termination. After this period expires, NeuronX may delete or archive customer data.
  • Survival of Confidentiality Obligations: All confidentiality obligations, non-disclosure provisions, and data protection commitments set forth in these Terms and any related agreements will survive termination of this agreement indefinitely.
  • Payment Obligations: All unpaid fees, charges, and amounts owed to NeuronX for services rendered up to and including the effective date of termination become immediately due and payable upon termination.

10. Limitations of Liability

Disclaimer of Warranties

AutoScale is provided "as is" without warranties of any kind. NeuronX disclaims all express and implied warranties, including merchantability, fitness for purpose, and non-infringement.

Limitation of Damages

To the maximum extent permitted by law, NeuronX's liability is limited to the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, consequential, or special damages.

Exceptions

The liability limitations set forth above shall not apply to any claims arising from NeuronX's gross negligence or willful misconduct. In such cases, NeuronX may be held liable for all direct and indirect damages resulting from such conduct, with limitations to the fees paid in the preceding restricted to 10% of the total monthly recurring fees paid.


11. Indemnification

You agree to indemnify and hold harmless NeuronX from claims arising from:

  • Your use of AutoScale in violation of these Terms
  • Content or data you provide that infringes third-party rights
  • Your violation of applicable laws or regulations
  • Unauthorized access to AutoScale through your account

12. Governing Law and Disputes

Governing Law

These Terms are governed by the laws of India without regard to conflict of law principles. The courts of Mumbai, Maharashtra shall have exclusive jurisdiction over disputes.

Dispute Resolution

Parties agree to attempt good faith negotiation before pursuing formal legal action. For disputes exceeding INR 10,00,000, binding arbitration under Indian Arbitration and Conciliation Act may be required.


13. General Provisions

13.1 Modifications and Updates to Terms

13.1.1 Right to Modify

NeuronX reserves all rights to modify, amend, update, or replace these Terms of Service at any time, at its sole discretion, without requiring prior consent from users.

13.1.2 Notice of Changes

Standard Modifications: For non-material changes, NeuronX will provide notice through email, in-application notifications, or website postings.

Material Modifications: For material changes that significantly affect your rights or obligations, NeuronX will provide advance notice of at least 30 days.

Immediate Changes: NeuronX reserves the right to implement changes immediately without advance notice when necessary for legal compliance, security enhancements, or urgent technical issues.

13.1.3 Notification Methods

  • Email Notification: Sent to the primary account email address on file.
  • In-Application Notice: Displayed prominently within the AutoScale interface.
  • Website Publication: Current Terms will always be available at https://autoscale.tech/terms-of-service.

13.1.4 Acceptance of Modified Terms

  • Deemed Acceptance: Your continued access to or use of AutoScale after the effective date of any modifications constitutes binding acceptance of the updated Terms.
  • Explicit Acceptance: For material modifications, NeuronX may require explicit acceptance through checking an acknowledgment box or clicking an "I Accept" button.
  • Rejection of Modified Terms: If you do not agree to modified Terms, you must discontinue use of AutoScale and provide written notice of termination.

13.1.5 Version Control and Accessibility

The current, binding version of the Terms is always available at https://autoscale.tech/terms-of-service. You are responsible for regularly reviewing the Terms for updates.

13.1.6 Scope of Modification Rights

NeuronX's right to modify these Terms includes service-related changes, commercial terms, legal and compliance updates, and risk allocation revisions.

13.1.7 Emergency Modifications

In the event of security vulnerabilities, legal orders, or critical system failures, NeuronX may immediately modify these Terms without advance notice.

13.1.8 No Waiver

NeuronX's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

13.1.10 Customer's Acknowledgment

  • Unlimited Modification Rights: NeuronX has all rights to modify these Terms at any time for any reason
  • Continuing Obligation: You have an ongoing obligation to review and stay informed of current Terms
  • Binding Effect: Modified Terms are binding upon publication and/or notice, regardless of actual awareness
  • Acceptance Through Use: Continued use of AutoScale after modifications constitutes acceptance
  • Limited Recourse: Your sole remedy for disagreement with modified Terms is to terminate your account in accordance with Section 9
  • No Compensation: You are not entitled to compensation, refunds, or damages resulting from Terms modifications except as expressly provided in these Terms
  • Assumption of Risk: You assume the risk that Terms may change in ways that affect your use, costs, or obligations

Assignment

You may not assign these Terms without written consent. NeuronX may assign its rights in connection with business transfers or corporate restructuring.

Severability

If any provision is deemed invalid or unenforceable, the remainder of these Terms will continue in full force and effect.

Entire Agreement

These Terms, together with referenced policies and agreements, constitute the complete agreement between the parties and supersede all prior understandings.


14. Third-Party Services and Integrations

Third-Party Service Dependencies

AutoScale integrates with numerous third-party services and applications ("Third-Party Services") to provide comprehensive functionality. These may include, but are not limited to:

  • Communication platforms (e.g., WhatsApp, Slack, Microsoft Teams)
  • Cloud service providers (e.g., Google Cloud, Amazon Web Services, Microsoft Azure)
  • AI and machine learning services (e.g., OpenAI, Google AI, Anthropic)
  • Email service providers (e.g., SendGrid, Mailgun, Amazon SES)
  • Social media platforms (e.g., Meta/Facebook, LinkedIn, Twitter/X)
  • Payment gateways and financial services
  • CRM, ERP, and other enterprise systems
  • Analytics and monitoring tools

Customer Responsibility for Third-Party Services

  • Selection and Authorization: You are solely responsible for selecting, authorizing, and configuring Third-Party Services for use with AutoScale
  • Third-Party Terms Compliance: You must review, understand, and comply with the terms of service, privacy policies, and acceptable use policies of each Third-Party Service
  • Data Privacy Obligations: You are responsible for reviewing and understanding the data privacy and data protection policies of all Third-Party Services
  • Direct Relationship: Your use of Third-Party Services creates a direct legal relationship between you and the third-party provider
  • Third-Party Accounts: You must maintain valid accounts, licenses, and subscriptions with Third-Party Service providers

Disclaimer of Liability for Third-Party Services

NeuronX expressly disclaims all liability and responsibility for service availability, terms changes, service quality, data handling, compliance, and actions of Third-Party Service providers.

Impact of Third-Party Service Changes

You acknowledge that NeuronX cannot control Third-Party Services and cannot guarantee their continued availability. Changes to Third-Party Services may affect AutoScale functionality without advance notice.

Third-Party Security Incidents

In the event of a security breach at a Third-Party Service provider, NeuronX's liability is limited to security measures within its direct control.


15. Force Majeure and Service Limitations

Force Majeure Events

NeuronX shall not be liable for any failure or delay in performing its obligations under these Terms when such failure or delay is due to Force Majeure Events, including acts of God, human-caused events, technology failures, and other unforeseeable circumstances.

PESTEL Risk Acknowledgment

You expressly acknowledge that AutoScale's availability and functionality may be affected by Political, Economic, Social, Technological, Environmental, and Legal factors beyond NeuronX's control.

Cybersecurity and Attack Mitigation

  • Best Efforts Standard: NeuronX will implement commercially reasonable security measures to protect against cyber attacks.
  • No Absolute Guarantee: You acknowledge that no security system is completely impenetrable.
  • Shared Responsibility: Security is a shared responsibility. You must maintain strong authentication practices and secure your own systems.

Effect of Force Majeure

  • Suspension of Obligations: NeuronX's obligations shall be suspended for the duration of the Force Majeure Event.
  • Service Level Exclusions: Uptime commitments shall not apply during Force Majeure Events.
  • No Liability: NeuronX shall not be liable for damages resulting from Force Majeure Events.

Geographic Service Limitations

AutoScale is designed for global deployment but may be subject to geographic limitations based on regulatory restrictions and data residency requirements.


16. Comprehensive Acknowledgment and Acceptance

Informed Consent

  • Read and understood Sections 14 (Third-Party Services) and 15 (Force Majeure) in their entirety
  • Recognized that AutoScale's functionality depends significantly on Third-Party Services beyond NeuronX's control
  • Understood your responsibility to independently review and accept the terms of all Third-Party Services
  • Acknowledged the limitations on NeuronX's liability for Third-Party Service changes
  • Accepted that Force Majeure Events and PESTEL factors may affect service availability without liability
  • Understood that no absolute guarantees can be provided regarding service availability or data security
  • Agreed to assume the risks associated with Third-Party Service dependencies
  • Acknowledged NeuronX's unrestricted right to modify these Terms at any time

No Additional Claims

You agree that acceptance of these Terms precludes any claims against NeuronX for losses resulting from Third-Party Service changes, Force Majeure Events, PESTEL impacts, or successful cyber attacks despite reasonable security measures.

Continuing Obligation

Your obligations under Sections 14, 15, and 16 continue throughout your use of AutoScale and survive termination of these Terms where applicable.
